1Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Oodser Ltd ("Oodser", "we", "us", or "our"), governing your access to and use of the Oodser platform at oodser.com and all associated services, APIs, and products (the "Platform").
By registering for or accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and any other policies referenced herein. If you do not agree, you must not use the Platform.
If you are using the Platform on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.
2Eligibility
- You must be at least 18 years of age to use the Platform
- You must have the legal capacity to enter into a binding agreement
- Your use must not violate any applicable laws in your jurisdiction
- Companies must be legally incorporated or registered entities
3Account Registration
To access most Platform features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials confidential and secure
- Notify us immediately of any unauthorised access to your account
- Accept responsibility for all activity occurring under your account
Oodser reserves the right to suspend or terminate accounts that contain false information or violate these Terms.
4Platform Usage — Professionals
As a professional user, you may:
- Create and maintain a professional profile
- Apply for roles through the Platform
- Track your job applications
- Communicate with companies and other professionals
- Attend and create events
- Publish articles and professional content
- Leave verified encounter reviews of companies
You agree not to misrepresent your professional history, qualifications, or identity. Oodser's verified work history feature relies on the accuracy of the information you provide, which is subject to employer confirmation.
5Platform Usage — Companies and Employers
As a company account, you may:
- Post job openings and manage hiring pipelines
- Access and process candidate applications through the Applicant Tracking System
- Communicate with candidates and collaborators
- Create and manage company events
- Use AI-assisted screening tools, subject to Section 6
- Access encounter reviews submitted about your organisation
Companies are responsible for ensuring their use of the Platform complies with all applicable employment laws, anti-discrimination legislation, and data protection requirements in their jurisdiction. Oodser provides tools; companies remain responsible for hiring decisions. Company processing of candidate data is governed by our Data Processing Agreement.
6AI-Assisted Features
Oodser provides AI-powered features including candidate recommendations, screening assistance, and content personalisation. By using these features, you acknowledge:
- AI outputs are recommendations only and do not constitute final decisions
- Employers must apply human judgment before making any hiring decision
- Oodser does not guarantee the accuracy or suitability of AI recommendations
- Discriminatory use of AI tools is strictly prohibited and may result in account termination

7Data and Intellectual Property
7.1 Your Content
You retain ownership of content you submit to the Platform, including your profile, articles, and communications. By submitting content, you grant Oodser a worldwide, non-exclusive, royalty-free licence to use, store, reproduce, process, and display that content for the purposes of operating and improving the Platform.
7.2 Oodser's Intellectual Property
The Platform, including its software, design, data models, intelligence systems, and aggregated datasets, is the exclusive property of Oodser. You may not copy, reverse engineer, scrape, or reproduce any part of the Platform without express written permission.
7.3 Behavioral and Intelligence Data
Interactions on the Platform generate behavioral data that Oodser uses to build its professional intelligence graph. This aggregated, anonymised data is Oodser's proprietary asset. Individual personal data is never sold. See the Privacy Policy for full details.
8Prohibited Conduct
You agree not to:
- Submit false, misleading, or fraudulent information
- Impersonate any person or entity
- Scrape, harvest, or extract data from the Platform by automated means
- Use the Platform to discriminate against any person based on protected characteristics
- Attempt to gain unauthorised access to any part of the Platform
- Transmit malware, viruses, or harmful code
- Use the Platform for any unlawful purpose
- Interfere with the operation or security of the Platform
- Reproduce, sell, or commercially exploit Platform content without authorisation
9Messaging and Communications
The Platform provides an integrated messaging system for professional communications. All messages are stored on Oodser's infrastructure. Conversation requests require recipient approval and are subject to the Platform's 7-day conversation window policy. Communications must comply with applicable law and must not contain spam, harassment, or prohibited content.
Oodser does not monitor private messages but reserves the right to access communications where required by law or to investigate violations of these Terms.
10Fees and Payment
Certain Platform features may be subject to fees, which will be clearly communicated before purchase. All fees are non-refundable unless otherwise stated or required by law. Oodser uses third-party payment processors and does not store payment card information. Pricing may change with 30 days notice.
11Disclaimers
The Platform is provided on an 'as is' and 'as available' basis. Oodser makes no warranties, express or implied, regarding:
- The accuracy or completeness of information on the Platform
- The suitability of any candidate or role
- Uninterrupted or error-free access to the Platform
- The outcomes of any hiring process conducted through the Platform
12Limitation of Liability
To the maximum extent permitted by applicable law, Oodser Ltd's total liability to you for any claim arising from your use of the Platform shall not exceed the greater of (a) the fees paid by you to Oodser in the 12 months preceding the claim, or (b) USD 100. Oodser shall not be liable for any indirect, incidental, consequential, or punitive damages.
13Indemnification
You agree to indemnify and hold harmless Oodser, its directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
14Termination
Oodser may suspend or terminate your access to the Platform at any time for violation of these Terms, legal requirements, or at our reasonable discretion with notice. You may delete your account at any time through your account settings. Termination does not affect data retained for legal compliance purposes as described in the Data Retention Policy.
15Governing Law and Dispute Resolution
These Terms are governed by the laws of Rwanda. Any disputes shall first be subject to good-faith negotiation. If unresolved within 60 days, disputes shall be submitted to binding arbitration in Rwanda under applicable arbitration rules, except where prohibited by applicable consumer protection law.
16Changes to Terms
Oodser may update these Terms from time to time. We will provide at least 30 days notice of material changes via email or Platform notification. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
